Affiliate agreement

AFFILIATE COMPENSATION AGREEMENT

This Agreement delineates the terms and conditions under which the Affiliate will promote and market products/services of Gamers Outlet LLC ("Company") and receive compensation for said promotions.

1. PURPOSE:

The Affiliate commits to promoting and marketing the Company's products/services and will receive compensation as outlined in this Agreement.

2. COMPENSATION:

(a) The Company agrees to pay the Affiliate a commission based on the net sales generated from customers who purchase the Company's products/services via the Affiliate's referral link. The commission rate is outlined in the Affiliate's dashboard or designated area.

(b) Commissions will be paid upon request by the Affiliate when the balance reaches or exceeds 50 EUR.

(c) Commissions are paid on net sales, which are sales minus any returns, chargebacks, or discounts provided by the Company.

3. PAYMENT METHOD:

Commissions will be paid via the method selected by the Affiliate in the Affiliate portal or dashboard.

4. REPORTING:

The Company will provide the Affiliate with access to a dashboard or similar reporting mechanism, where the Affiliate can track referrals, conversions, and earned commissions.

5. TERM:

This Agreement is valid from the date of acceptance by the Affiliate and continues indefinitely unless terminated as provided herein.

6. TERMINATION:

Either party may terminate this Agreement with 30 days written notice. If the Affiliate violates any terms of this Agreement, the Company has the right to terminate the Agreement immediately without prior notice.

7. CONFIDENTIALITY:

The Affiliate agrees not to disclose any proprietary or confidential information regarding the Company or its business operations to any third party without the prior written consent of the Company.

8. LIMITATION OF LIABILITY:

Neither party shall be liable to the other for any indirect, incidental, special, or consequential damages resulting from this Agreement.

9. GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of the state of Massachusetts, USA. The jurisdiction for any disputes arising from this Agreement shall be at 1975 Massachusetts Avenue, Cambridge, 02140, MA, USA.

10. ADVERTISING RESTRICTIONS:

The Affiliate is strictly prohibited from using Google, Facebook, and Instagram ads or using Coupon websites to generate leads or drive traffic for the purpose of this affiliate program. Violation of this clause will result in immediate termination of the Affiliate's participation in the program and may lead to forfeiture of any unpaid commissions.

11. ENTIRE AGREEMENT:

This Agreement contains the complete terms agreed upon between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.
